Supplier agreement

You grant Day Zero a license to retail up to 100 lifetime seats for this campaign. The backer buys that license from Day Zero. Checkout runs on Dodo (merchant of record). You build and supply the product.

Listing costs $20 (non-refundable). You set the retail LTD price from $10 to $39 while building, or up to $79 if backers can claim immediately. Delivery date is hard, maximum 90 days from campaign close.

On each completed sale, Day Zero owes you wholesale: the retail price minus Dodo's processor fee minus Day Zero's 7% margin (0% margin on sales that start from your embed widget). That amount is payable after the sale's 30-day return window, in a weekly Wise transfer. If the backer returns the purchase in that window, the wholesale payable is credited and nothing is owed on that seat.

You authorize Day Zero to issue a supplier self-bill (payment statement) in your name when we record a Wise payout. We email you a copy and keep one for our books. You do not send Day Zero an invoice. The document is a payment statement, not a tax invoice, unless your accountant later says otherwise.

Every LTD is a public, transferable seat. Backers may list it on /market at any price, or pass the code to another verified backer. That PayPal sale is between backers — Day Zero is not the seller and does not take a cut. You cannot lock seats to the original buyer.

Missed delivery by more than 60 days without communication, 90 days of ghosting, or fraud places you on the public ban list. You must pass the production loopback before backers can activate on your product. Listing can go live before that.
